1. The name of the
Club is Bryanston Buffaloes.
2. The objects of
the Club are to support the sport of rowing
generally, particularly at Bryanston School, and to
enable its members to associate together to promote
that end.
3. Any person who
is in sympathy with the objects of the Club shall
be eligible to become a member of the Club and
shall be regarded as a member from the time when he
pays the subscription appropriate to him and shall
not be required to be elected as a member. Both men
and women shall be eligible to become members and
in these Rules references to men include references
to women.
4. A person shall
cease to be a member if:
(a) he
sends a written resignation to the
Secretary,
(b) he fails to
pay his subscription in any year and the
Committee resolves that he be struck off the
list of members, or
(c) the
Committee resolves that he ceases to be a member
(but so that the Committee shall not be bound to
disclose the reason for so
resolving).
5. The subscription
to be paid by each member shall be determined from
time to time by the Club at any general meeting.
Subscription rates may provide for the payment of
different subscriptions by different members or
classes of members or for the payment of a single
subscription in respect of two or more members from
the same family. The Committee may waive the
payment of a subscription by any member if it
considers that there is good reason for doing
so.
6. There shall be
an Annual General Meeting of the Club in each year
at a time and place to be fixed by the Committee.
So far as possible not more than fifteen months
shall be allowed to elapse between one Annual
General Meeting and the next.
7. Other general
meetings of the Club may be held from time to time
if the Committee thinks it necessary to do so. The
Secretary shall also convene a general meeting if
not less than 15 members of the Club give notice in
writing requiring him to do so.
8. General meetings
shall be convened by not less than 14 days' notice
in writing being given or sent to all members by
such means as the Secretary shall consider
appropriate.
9. The officers of
the Club shall consist of a President,
Vice-Presidents, a Chairman, a Secretary and a
Treasurer. The President is the senior officer of
the Club and shall take the chair at every general
meeting at which he is present. The Chairman is the
chief executive officer of the Club and shall take
the chair at every meeting of the Committee at
which he is present.
10. The first
President, Chairman, Secretary and Treasurer shall
be elected at the inaugural meeting of the Club and
shall hold office until the end of the first Annual
General Meeting. Subsequent holders of these
offices shall be elected at each Annual General
Meeting and shall hold office from the end of that
meeting until the end of the next Annual General
Meeting.
11. The
Vice-Presidents of the Club shall be persons whose
services to rowing at Bryanston School are
considered to be worthy of special recognition.
There shall be no limit on the number of
Vice-Presidents. The first Vice-Presidents shall be
elected at the inaugural meeting of the Club. Other
Vice-Presidents may be elected at any Annual
General Meeting, but no person shall be eligible to
be elected after the inaugural meeting unless
either
(a) he is
proposed by the President, Chairman or Secretary
on the recommendation of the Committee,
or
(b) written
notice of the intention to propose his election
has been given to the Secretary not less than 7
days before the meeting at which his election is
to be proposed and the Committee does not oppose
such election.
Vice-Presidents
shall hold office for life or until they resign by
notice in writing given to the
Secretary.
12. The Club shall
be governed by a Committee which shall consist of
the President, the Chairman, the Secretary, the
Treasurer, the Masters in Charge of Boys' and
Girls' rowing, the Captains of Boys' and Girls'
Rowing, the Captain of the Bryanston Buffaloes Boat
Club and not less than three nor more than seven
Committee members elected and holding office in
accordance with the next Rule.
13. The first
Committee members shall be elected at the inaugural
meeting of the Club and shall hold office until the
end of the first Annual General Meeting. Subsequent
Committee members shall be elected at each Annual
General Meeting and shall hold office from the end
of that meeting until the end of the next Annual
General Meeting.
14. Without
prejudice to the generality of its powers to
conduct the affairs of the Club the Committee
may:
(a) co-opt
additional members, notwithstanding that the
membership of the Committee is thereby increased
above the maximum number specified in Rule
12:
(b) appoint any
person to fill a casual vacancy occurring in any
of the offices mentioned in Rule 10:
(c) appoint
assistants to the Secretary or
Treasurer.
Co-opted members of
the Committee, persons appointed to fill casual
vacancies and assistants to the Secretary and
Treasurer shall hold office only until the end of
the next following Annual General
Meeting.
15. These Rules may
be added to or varied by a resolution passed at any
general meeting of the Club by two-thirds of the
votes cast on such resolution. The President or the
person taking the chair at any meeting at which a
resolution adding to or varying these Rules is
proposed may, however, refuse to allow such
resolution to be put to the meeting if he considers
that, having regard to the nature of the addition
or alteration, insufficient notice of the proposal
to move such resolution has been given to
members.
